Raybae Retailer Terms & Conditions

  1. THE AGREEMENT: The Terms and Conditions (hereinafter called the “Agreement”) are provided by the following organization, hereinafter referred to as “The Company”. Raybae Holdings, LLC. The Agreement is a legal document between you “The Retailer” and “The Company” that describes the relationship we are entering. Please ensure you read and understand the entirety of this document.
  2. GENERAL: These terms and conditions are applicable to the supply of products made by raybae, hereafter referred as “The Company”, and to [Name of Retailer] hereafter referred to as “The Retailer”.
  3. AMENDMENT AND MODIFICATION: These Terms and Conditions may be amended or modified in writing which specifically states that it amends these Terms and Conditions and is signed by an authorized representative of each party.
  4. TERMINATION: In addition to any remedies that may be provided under these Terms and Conditions, “The Company” may terminate this Contract with immediate effect upon written notice to “The Retailer”, if “The Retailer”: (i) fails to pay any amount when due under this Contract and such failure continues for thirty (30) days after “The Company’s” receipt of written notice of nonpayment; (ii) has not otherwise performed or complied with any of these Terms and Conditions, in whole or in part; or (iii) becomes insolvent, files a petition for bankruptcy or commences or has commenced against it proceedings relating to bankruptcy, receivership, reorganization or assignment for the benefit of creditors.
  5. FORCE MAJEURE: “The Company” shall not be liable or responsible to “The Retailer”, nor be deemed to have defaulted or breached this Contract, for any failure or delay is caused by or results from acts or circumstances beyond the reasonable control of “The Company” including, without limitation, acts of God, flood, fire, earthquake, hurricane, explosion, governmental actions, war, invasion or hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, epidemic, lockouts, strikes or other labor disputes (whether or not relating to either party’s workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.
  6. CHANGES TO TERMS & CONDITIONS: Raybae reserves the right to change these terms and conditions at any time but will notify you 15 days in advance of such changes.
    • Opening order is $500 USD
    • Reorder is $250 USD
    • First order: testers are added at no charge (must purchase 6 units per SKU and/or case pack to qualify for a free tester)
    • Testers are charged after the first order, which are half the cost of wholesale.
    • Shipping costs are added on to all invoices and retailer is responsible for all shipping costs.
    • If raybae participates in any GWP/Promos etc. shipping will be retailers’ responsibility.
    • Your invoice (not shipping invoice) will be the reflection of what will be arriving in your order.
    • If you would like for raybae to participate in any GWP/Promos, raybae will require minimum of a 3-month notice, as well as the requirements for the GWP.
    • Information needed is as follows: dates, quantities, product required as well as information about your event (online, instore, other brands participating, reason for special event.)
    • Raybae will provide you with a Dropbox link of images to be used for social, web, etc.
    • All images from this are permitted for use.
    • If you would like to use an image directly from raybae social campaigns, please verify due to infringement rights.
    • Web images and ingredient changes must be updated on your website within 30 days from raybae notifying you of any changes.
    • If marketing material has been used that raybae does not approve of, we will require you to immediately take down and will present you with a new option, if required.
    • Please ensure that our name is spelled correctly on any social/web platform – raybae
    • Raybae will require notification of 20% or more of any discounts you promote on your website or social platforms.
    • We also require dates of promotion and products included.
    • Retail pricing must reflect the MSRP price on our wholesale line sheet.
    • Raybae encourages each retailer to participate in a Training once onboarded.
    • Raybae encourages New Product Knowledge training once new products are launched.
    • Raybae Skincare requires a 48-hour notice of any damages of upon product arrival.
    • Please include images of damaged goods as well as the quantity and products damaged and your findings (broken, leaking, torn, etc.)
    • Raybae does not take back products that have not been able to move from your shelves. All products are made in small batches and are sent to you with the newest available batch
    • Raybae does not provide returns or refunds on products that your customers have returned.
    • If a customer has received a faulty product by means of packaging, please send us images, date of purchase, copy of receipt and what the issue is. Raybae will handle on a case-by-case basis. This must be done within 48 hours of the customer bringing to your attention.
    • Orders will not be shipped until invoice has been paid in full.
    • Ensure to check the invoice before payment to ensure that it is correct and without error.
    • Raybae will notify you of any out-of-stock items and will contact you directly if you would like to have items put on backorder.
    • You will receive information in advance with information on discontinued items.
    • Raybae will allow you to put these products on sale, at your discretion.
    • Raybae will not take back discontinued stock
